DUTIES & RESPONSIBILITIES
General and paralegal support to the Seaboard Overseas Group Legal department (General Counsel in KC).
Support corporate secretarial functions for a substantial portfolio of international affiliates, including approximately 30 entities in Bermuda, many in Africa and Latin America. Responsibilities may include assisting with preparing and revising resolutions, minute books, and corporate filings, and working closely with local registered agent services.
Prepare and revise correspondence, various commercial contracts and other legal documents.
Assist with M&A due diligence as well as other transactional and administrative projects.
Assist the General Counsel on various legal and compliance projects as requested, including anti-money laundering and OFAC compliance.
Administer contract and document management systems.
Research inquiries for legal and regulatory requirements around the world.
Manage and organize corporate records, ensuring such records are up-to-date and in good order. Liaise with various affiliates and personnel who require such records.
Provide litigation support as needed (e.g., information gathering, support for discovery responses, etc.).
Work in a collaborative environment to develop and maintain relationships with internal clients and external law firms and agencies around the world by providing excellent service and responsiveness.
Manage various business partners, with respect to their corporate recordkeeping. Assist with the opening of bank accounts, and KYC requests from business partners" suppliers and vendors.
Work directly with business partners in the facilitation of overseas shareholder and director meetings.
EDUCATION & EXPERIENCE
Bachelors degree is required.
Paralegal certificate strongly preferred.
Minimum 5 years corporate paralegal experience with a recognized firm, corporate legal department, or other professional services firm is required.
OTHER QUALIFICATIONS
Proficiency in Word, Excel and Outlook.
Must be adept at recognizing opportunities to improve processes and systems and be able to assist with implementing changes.
Impeccable organizational skills and the ability to prioritize and manage a high volume of work.
Requires the ability to analyze complicated business-related scenarios, such as shareholding structures, complicated organizational charts, difficult M&A transactions.
Must be highly proficient in written and oral communication.
This position occasionally requires working evenings or weekends.
This position requires adaptability and the ability to function effectively under a variety of jurisdictional idiosyncrasies and requirements from second and third world countries.
Spanish or French proficiency is a plus but not required.
