As the Corporate Paralegal, you will develop a basic understanding of the legal foundations of a renewable energy project developer and owner, along with a detailed understanding of Scout’s corporate governance and legal processes. You will deploy your outstanding organizational skills and attention to detail to assist Scout’s broader legal team in all aspects of corporate matters and build a strong foundation for the company’s future growth. The Corporate Paralegal will report to the Senior Counsel.
We are seeking an experienced Corporate Paralegal with strong expertise in corporate and transactional matters to provide the following services:
Create, file, and maintain documents.
Perform project and asset due diligence.
Support financing, M&A, and real estate transactions.
Utilize the broad suite of Scout form agreements to draft and negotiate NDAs, consents, waivers, releases, notices, work orders, and other project-related agreements, and support the drafting and negotiation of services agreements, procurement contracts, and change orders.
Maintain contract templates and support commercial teams in their use.
Form and maintain extensive portfolio of corporate entities (primarily Delaware LLCs).
Ensure corporate reporting and compliance obligations are met.
Maintain corporate books and records.
Maintain database of executed agreements (including NDAs and services agreements) along with notes detailing deviations from Scout form agreement(s).
Prepare correspondence (e.g., letters, emails, presentations) and oversee delivery and execution of time-sensitive materials.
Additional legal support as needed, including assistance with special projects as directed by the General Counsel and other Scout attorneys and/or assist with various legal requests from commercial and technical team(s).
Aid in the preparation and execution of closing documentation for various renewable energy transactions.
Support the drafting and negotiation of real estate agreements.
Review title documents, site plans and ALTA surveys for encumbrances and determine if curative action is required; work with title companies regarding curative actions and support the drafting and negotiation of title curative documents.
You will also play an important role in Scout’s continued growth and development as a company. We will ask you to consistently review and implement improvements to Scout’s legal process management, including the following:
Suggest changes to Scout form documents.
Create and implement efficient and scalable processes, system automation and integration for required reporting.
Develop and refine policies and procedures for contract drafting, negotiation, execution and lifecycle management.
Coordinate and establish corporate records retention program.
Furthermore, you will be exposed to the energy industry and the complicated regulatory ecosystem within which it resides.
Bachelor's degree and Paralegal Certificate from an accredited university.
3+ years of experience as a paralegal with a heavy focus on standard contracts (e.g. NDAs, services agreements, etc.) and corporate governance and/or real estate focus.
Interest in the renewable energy industry; prior experience in the industry is preferred but not required.
Tech savvy – ability to learn and operate at a high level in a variety of software applications; specific experience in Adobe Sign is a plus.
Experience drafting documents (e.g., notices, consents, waivers, etc.).
Strong writing skills.
Detail-oriented with superior organizational skills.
Demonstrated ability to work in a flat organization, successfully leveraging the expertise of multiple colleagues in different lines of reporting.
Ability to work independently with limited supervision.
Proficiency with Microsoft Office.
Authorized to work in the U.S. without sponsorship.
Timeline and Location
This full-time (40-hour-per-week) position will begin in September 2024.
Our ideal candidate will be able to commute to our Boulder office at least three times per week.
